Data Hub terms of use

By creating an account, subscribing, or using the Service, you agree to these Terms. If you are using the Service on behalf of a business, you represent that you have authority to bind that business to these Terms.

1. Definitions

• "Account" means your user account for accessing the Service.
• "Authorized User" means a person you allow to access the Service under your subscription.
• "Customer Data" means data you submit to the Service (e.g., company details you add/edit where applicable).
• "Directory Data" means the aggregated business listing, category, and related information displayed in the Service.
• "Subscription" means a paid plan granting access to features for a defined period.

2. The Service

The Service provides access to business directory and/or market intelligence features such as viewing records, filtering, searching, and analytics. Unless your plan explicitly states otherwise, the Service is provided as view-only and does not allow exporting, scraping, bulk downloading, or automated extraction.

The Service is a digital subscription sold by Global Business Directory LLC for access to our own directory search and business intelligence tools. We do not operate a marketplace, process payments for listed businesses, broker transactions between users and listed businesses, hold customer funds for third parties, or act as an escrow, money transfer or payment facilitation service.

3. Eligibility and Account Registration

• You must provide accurate, current information and keep it updated.
• You are responsible for all activity under your Account and for keeping credentials confidential.
• You must promptly notify us if you suspect unauthorized access or a security incident.

4. Subscriptions, Billing, and Taxes

• Fees: Subscription fees are billed in advance unless stated otherwise on the checkout page or invoice.
• Payment providers: Payments may be processed by third-party providers, including Stripe and PayPal. By making a payment, you agree to provide accurate payment information and to follow the applicable provider terms.
• Service delivery: After successful payment, subscription access is delivered through your Data Hub account. Access may be limited, suspended or reviewed if payment fails, fraud checks require review, or these Terms are violated.
• Renewals: Subscriptions may renew automatically unless canceled before renewal (if auto-renew is enabled).
• Refunds: Except where required by law or explicitly stated in writing, fees are non-refundable.
• Taxes: Prices may exclude applicable taxes. You are responsible for taxes except where we are required to collect them.
• Non-payment: Late or failed payments may result in suspension or downgrade of access.

5. License and Permitted Use

Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes during your Subscription.

6. Usage Restrictions (No Scraping / No Export)

You agree not to, and not to allow others to:

• Copy, export, bulk-download, or extract data from the Service except as explicitly allowed by your plan.
• Use bots, crawlers, scrapers, extensions, automation, or scripts to access or collect data.
• Bypass or attempt to bypass access controls, rate limits, paywalls, or feature restrictions.
• Reverse engineer, decompile, or attempt to discover source code or underlying models/logic.
• Resell, sublicense, distribute, or make the Service available to third parties, including data as a service.
• Use the Service to create or enhance a competing product or dataset.

7. Acceptable Use

You must not use the Service to:

• Break any law or regulation, including privacy, data protection, anti-spam, and consumer protection rules.
• Infringe intellectual property rights or misrepresent identity/affiliation.
• Transmit malware, attempt unauthorized access, or disrupt systems.
• Harass, threaten, or facilitate illegal activity.

8. Data Quality and Sources

Directory Data may come from third-party sources, public records, user submissions, and internal curation. While we aim to provide accurate and up-to-date information, we do not guarantee completeness, accuracy, or fitness for a particular purpose. You should independently verify critical information before relying on it.

9. Customer Data and Permissions

• You retain ownership of Customer Data you submit, subject to the rights granted below.
• You grant us a worldwide, non-exclusive license to host, process, display, and use Customer Data to provide and improve the Service.
• You confirm you have the necessary rights and legal basis to submit Customer Data.

10. Intellectual Property

We (and our licensors) own all rights in the Service, including software, design, text, trademarks, and compiled/structured Directory Data (to the extent protectable). Except for the license granted in these Terms, no rights are granted to you.

11. Confidentiality

If we provide you access to non-public features, documentation, pricing, or roadmap information, you agree to keep it confidential and use it only to evaluate or use the Service.

12. Security

We use reasonable administrative and technical safeguards designed to protect the Service. However, no method of transmission or storage is 100% secure, and we cannot guarantee absolute security.

13. Suspension and Termination

• We may suspend or restrict access immediately if we reasonably believe you violated these Terms, created risk, or attempted prohibited extraction.
• You may cancel your Subscription according to your plan settings or by contacting support.
• On termination, your license ends and you must stop using the Service.

14. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT DATA WILL BE COMPLETE OR ACCURATE.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID TO US FOR THE SERVICE IN THE 3 MONTHS IMMEDIATELY BEFORE THE EVENT GIVING RISE TO THE CLAIM.

16. Indemnity

You agree to defend, indemnify, and hold harmless the Company and its affiliates, officers, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of or related to your use of the Service, Customer Data, or violation of these Terms.

17. Compliance

You agree to comply with all applicable laws and regulations, including export controls, sanctions, and anti-corruption laws, and you represent that you are not prohibited from using the Service.

18. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will post the updated Terms and update the effective date above. Your continued use of the Service after changes become effective constitutes acceptance of the updated Terms.

19. Governing Law and Disputes

These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict of law principles.
